| Vendor/Exhibitor Agreement The Jackys Gallaxie Restaurant & Wedding Banquet Hall and Cherish the Moments, LLC (hereinafter JGR) hereby agrees with: _________________________, of_____________________________ (hereinafter Exhibitor/Vendor name & Exhibitor/ Vendor Company) to the following. Exhibitor/Vendor Must Provide: One door prize gift certificate for the drawing raffle, valve at $50.00. Your table must be present professionally. Your business sign must be displayed at your table and your name badge on you. All tables must be staff at all times. Space Placement and Rules: Consideration will be given to Exhibitor and Vendor needs. Placing advertising materials or equipment, or soliciting in the aisles or any other then the space allotted is strictly forbidden. No Exhibitor/Vendor shall obstruct aisles, common areas, neutral space between tables with his/her goods or in any other manner. All aisles must be kept clear within the boundaries set up by local codes and JGR & Cherish the Moments. Special Request: Its on a first come bases and will be considered on availability and needs of that Exhibitor or Vendor. Any Exhibitor/Vendors that requires electricity must state that on the application in order to place you with an outlet. All extension cords must be surge protected and waterproof. Set-up and Breakdown: Set-up begins at 8:30am-10:30am, on Saturday, February 13, 2009. All Exhibitors/Vendors must use authorized loading area and remove theirs vehicles immediately after unloading. Should an Exhibitor/Vendor fail to occupy his/her space during the scheduled period, then JGR & Cherish the Moments, shall have the right to take procession of said space without liability or a refund of the Exhibitor/Vendor fee. JGR & Cherish the Moments reserve the right to re-allocate exhibit space not occupied by this time. Exhibits must not dismantle or removed before the Wedding Expo has closed. In the event this Exhibitor/Vendor violates this provision Exhibitor/Vendor shall forfeit his/her right from participation in future Wedding Expos. All display must be free standing and not exceed the boundaries of another space. Exhibitor/Vendor are prohibited from hanging anything on walls/ceiling/columns, windows or fixtures without prior permission from JGR & Cherish the Moments. Exhibitor/Vendor shall leave the space occupied in the same condition as the time when first occupied. Transfer of Space: Your space is solely for your use only and not be subleased to any individual. No other literature or any other form of display for another non-paying exhibitor and vendor may not be distributed or allowed. Liability and Indemnification: Reasonable precautions will be taken by JGR & Cherish the Moments to protect person and property during the Wedding Expo. JGR & Cherish the Moments shall not be responsible for personal safety of the Exhibitor or Vendor or his/her representatives from injury, nor the safely of the property of the Exhibitor or Vendor from theft or damage. Exhibitor/Vendor waives all claims of every kind against JGR & Cherish the Moments Wedding Expo Faculty and representatives of the same including, without limitation, all claims for damages based on personal property damage, destruction, loss or theft, personal injury or death, and other act or failure to act of JGR & Cherish the Moments. JGR & Cherish the Moments is not responsible for any liability and hold of JGR & Cherish the Moments harmless from all claims injury including expense, damages, costs, and attorneys fees, by exhibitor or vendor, exhibitors agent or employees, contractors, or any other person, arising out of any act or omission in any way related to Exhibitor/Vendor participation in the wedding expo whether negligent or not. Exhibitor/Vendor should take steps necessary to insure his/her against any such loss, and if requested, Exhibitors/Vendors will provide proof of business liability of insurance. Food Vendors must provide proof of liability insurance with limits of not less then $300,000. Payment/Cancellation: All payment is non-refundable and non-transferable after January 1, 2010. All cancelations requests must be in writing prior to the Wedding Expo. There will be a $50.00 processing fee charge if cancellation is given more then 60 days prior to the Wedding Expo date. Wedding Expo Cancellation: In the event of adverse weather conditions, fire, casualty, labor disputes, acts of God, or any other emergency situations beyond the control of JGR & Cherish the Moments will reschedule date and relocation of the Wedding Expo. Exhibitor/Vendor agrees that the terms and conditions set forth in it agreements shall apply to any rescheduled date and /or relocation, and JGR & Cherish the Moments shall not be liable to the Exhibitor/Vendor for any loss or damage suffered by reason of such rescheduling and/or relocation of the Wedding Expo. Changes & Modifications: Any promotional and/or industrial information provides by JGR or Cherish the Moments, to Exhibitor/Vendors is accurate as of publication: however, JGR & Cherish the Moments reserve the rights to change or modify details of the event without notice. JGR & Cherish the Moments may issue additional rules, as it deems necessary for the orderly presentation of the show. Any rules may be amended at any time by Wedding Expo management provided that such amendment shall not substantially diminish the rights or increase the liability or Exhibitor/Vendor. This agreement shall represent the entire agreement between Exhibitor/Vendor and fully integrated. JGR nor Cherish the Moments shall not be bound by any representation or misunderstanding not expressly set forth in this agreement. No provision of this agreement shall be modified except by the written mutual consent of the parties.
